Xero's Terms of Use

These Terms of Use define the legal agreement between users and Xero, outlining the rules and responsibilities related to accessing and using Xero’s cloud-based accounting and business management services.

1. Acceptance of Terms
By creating an account, subscribing to a plan, or using any of Xero’s services, you agree to comply with these Terms of Use. If you do not agree with the terms, you should discontinue your use of the services immediately.

2. Key Definitions
Subscriber: The individual or entity that creates and pays for a Xero subscription.

Invited User: A person granted access to Xero’s services by a subscriber. The invited user’s permissions are determined by the subscriber.

Services: The cloud-based software products and support services offered by Xero.

3. Roles and Access Management
Subscribers may invite others to access their Xero account. They are responsible for managing these roles and determining appropriate access levels. Invited users must adhere to the same terms and are bound by the same legal obligations.

4. Subscriber Responsibilities
Subscribers are accountable for:

Managing subscription access and user permissions.

Ensuring all usage complies with these terms.

Making timely payments for their subscription.

Resolving any internal disputes with invited users.

All actions performed under their account, including those by invited users.

5. Service Availability
Xero endeavors to maintain consistent availability of its services but does not guarantee uninterrupted or error-free operation. Maintenance, updates, or technical issues may occasionally affect availability. Xero provides advance notice for scheduled downtime when possible.

6. Termination and Suspension
Either party may terminate the agreement:

Subscribers: Can cancel their subscription at any time, subject to notice requirements.

Xero: May suspend or terminate access if there is a breach of these terms, suspected misuse, or failure to meet payment obligations.

Upon termination, access to services and stored data may be revoked unless otherwise stated.

7. Data Use and Privacy
Xero processes user data in accordance with its Privacy Policy, ensuring secure collection, usage, and storage of personal information. Users are encouraged to review Xero’s privacy practices to understand how data is handled.

8. Fees and Payments
All applicable fees must be paid by the subscriber in accordance with the pricing structure agreed upon at the time of subscription. Fees are subject to taxes and may change with prior notice. Non-payment may lead to suspension of service.

9. Intellectual Property
All intellectual property rights in the services, including software, logos, design elements, and content, belong to Xero or its licensors. Users are granted a limited, non-transferable license to use the services in accordance with these terms.

10. Liability Limitations
To the fullest extent permitted by law, Xero’s liability is limited. Xero is not responsible for indirect, incidental, or consequential damages arising from the use or inability to use its services.

11. Changes to the Terms
Xero may update these terms periodically. Users will be notified of material changes. Continued use of the services after updates implies acceptance of the revised terms.

12. Governing Law
These Terms of Use are governed by the laws of the jurisdiction associated with the specific Xero entity that provides the services to the user. Any disputes will be resolved under the applicable legal system of that jurisdiction.
